1. Acceptance of Terms

By accessing and using Reglr ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") are entered into between Reglr Pte Ltd ("Company", "we", "us", "our") and you ("User", "Customer", "Merchant").

2. Service Description

Reglr is a phone-based loyalty platform that enables:

  • Customers: Track visits across participating merchants, earn tier status, receive personalized offers and loyalty rewards from merchants you visit, discover new merchants through cross-merchant recommendations
  • Merchants: Track customer visits, analyze behavior patterns, identify top customers, manage tiers and rewards, send targeted offers and campaigns to their customers, access cross-merchant discovery insights

We provide the Service "AS IS" without warranties of any kind, either express or implied.

3. User Accounts

Customer Accounts:

  • Created by entering a phone number and verifying via SMS OTP
  • You are responsible for maintaining the confidentiality of your authentication credentials
  • You agree not to share your session cookies or authentication tokens
  • You are responsible for all activities that occur under your account

Merchant Accounts:

  • Created with valid business email and password
  • You must provide accurate business information
  • You are responsible for maintaining account security
  • You cannot use another person's account or misrepresent your business

4. User Responsibilities

All Users agree to:

  • Provide accurate and truthful information
  • Not impersonate others or create false identities
  • Not attempt to hack, crack, or circumvent security measures
  • Not use automated tools, bots, or scripts to access the Service
  • Not engage in fraud, abuse, or illegal activities
  • Comply with all applicable laws and regulations

Customers specifically agree to:

  • Not attempt fraudulent check-ins (different locations, rapid succession)
  • Not share check-in links or QR codes outside intended use
  • Comply with merchant policies and business hours

Merchants specifically agree to:

  • Maintain accurate business hours
  • Place QR/NFC codes at legitimate check-in locations only
  • Not manipulate check-in counts or customer data
  • Not use the Service for purposes other than loyalty tracking
  • Maintain payment information accuracy for subscriptions

5. Subscription and Payment

Merchant Subscriptions:

  • Subscriptions are available in three tiers: Starter ($49), Growth ($99), Pro ($199) per month
  • Pricing is based on location and table limits per tier
  • All subscriptions include a 30-day free trial
  • Billing occurs automatically on the first day of each billing cycle
  • If payment fails, we will retry for 3 business days before suspending the account

Payment Terms:

  • Payment is processed through Stripe
  • All prices are in SGD
  • No refunds are provided for unused portions of a billing cycle (except as required by law)
  • You may cancel your subscription at any time through the customer portal
  • Cancellation takes effect at the end of your current billing cycle

Refund Policy:

  • Refunds for unused trial periods: Full refund if requested within 3 days
  • Refunds for paid subscriptions: Pro-rata refund only if service is unavailable for >24 hours
  • To request a refund, contact [email protected] within 30 days of charge

6. Marketing Communications

  • By using the Service, you may receive offers and loyalty communications from merchants you have checked in at
  • You can opt out of marketing communications at any time via Profile → Privacy settings
  • Transactional messages (OTP codes, account notifications) cannot be opted out of

7. Fraud Prevention and Account Suspension

We employ automated fraud detection systems that analyze:

  • Rapid check-ins from different geographic locations
  • Multiple check-ins outside of merchant business hours
  • Repeated rate limit violations
  • IP address anomalies
  • Pattern-based suspicious behavior

Accounts detected engaging in fraudulent activity will be suspended immediately. We will attempt to contact you before permanent deactivation. Suspended accounts will not be able to check in, but profile data may be retained for fraud investigation purposes.

8. Intellectual Property Rights

All content, features, and functionality of the Service (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Reglr, its licensors, or other providers of such material and are protected by copyright and other intellectual property laws.

You are granted a limited license to use the Service for personal, non-commercial purposes. This license does not permit:

  • Reproducing, distributing, or transmitting the Service
  • Creating derivative works
  • Reverse engineering or decompiling
  • Commercial use without explicit written permission

9. Limitation of Liability

DISCLAIMER:

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

LIMITATION OF LIABILITY:

TO THE FULLEST EXTENT PERMISSIBLE UNDER LAW, REGLR SHALL NOT BE LIABLE FOR:

  • Lost profits, revenue, data, or business opportunities
  • Indirect, incidental, special, consequential, or punitive damages
  • Service interruptions or unavailability
  • Lost customer visits or decreased business
  • Unauthorized access or data breaches due to factors beyond our reasonable control

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Reglr, its officers, directors, agents, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any law or third-party rights
  • Your fraudulent or illegal activity
  • Your data or content that you upload to the Service

11. Termination

We may terminate or suspend your account and access to the Service immediately without notice if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Payment fails and is not resolved within 3 days
  • We are required to do so by law

Upon termination, your right to use the Service immediately ceases. Your data will be retained according to our Privacy Policy.

12. Modifications to Service

We reserve the right to modify or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification or discontinuation of the Service.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any disputes shall be resolved through binding arbitration under the Singapore International Arbitration Centre (SIAC) Rules. The arbitration shall be conducted in English in Singapore.

14. Dispute Resolution

Informal Resolution: Before initiating arbitration, we encourage you to contact [email protected] to resolve the dispute informally within 30 days.

Arbitration: If the dispute is not resolved informally, either party may initiate binding arbitration under SIAC Rules. Each party shall bear its own costs unless the arbitrator determines otherwise.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reglr regarding the Service and supersede all prior or contemporaneous agreements, whether written or oral.

17. Changes to Terms

We may revise these Terms at any time by updating this page. Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes. We encourage you to review these Terms periodically to stay informed of any updates.

19. Interpretation

In these Terms, "including" means "including without limitation". Section headings are for convenience only and do not affect interpretation.
